The banking group advises lenders on all legal aspects of property acquisitions, property development, corporate acquisitions, MBOs, MBIs and group reorganisations.

The banking group has considerable experience in advising lenders and corporate clients on the drafting and, where appropriate, the negotiation of:

  • facility letters and agreements
  • loan agreements
  • legal charges
  • debentures
  • guarantees
  • inter-creditor agreements
  • subordination arrangements
  • reports on title

RECENT TRANSACTIONS

Members of the group acted for a clearing bank on facilities to be made available to offshore companies acquiring residential property in London with a value in excess of £20m.

The group acted for Sackville Properties Limited in the negotiation of facilities with Royal Bank of Scotland to acquire an investment portfolio with a value in excess of £80m.

We acted for a clearing bank on facilities to be made available to a company developing a site with over 170 apartments as well as a retail outlet.  The value of the facilities was in excess of £20m.

The group acted for Sackville Developments (Reading) Ltd in relation to the funding for the re-development of the Station Hill site in Reading.

SPOTLIGHT ON LEADING INDIVIDUALS

Jeremy Parkes, partner, heads up the banking group and has considerable experience in acting for lenders and for clients in relation to banking transactions.  Jeremy has recently acted for a number of clearing banks including Bank of Scotland, Royal Bank of Scotland, Clydesdale Bank, Allied Irish Bank and Handelsbanken.  Jeremy has particular experience in the acquisition and disposal of property investment portfolios and has advised on deals with an aggregate value in excess of £450m.

Alex Illingworth, associate, has also acted for a number of clearing banks, including Bank of Scotland and Royal Bank of Scotland, as well as advising many private investors and corporate clients on banking documents.  Alex has particular experience in the drafting and negotiation of facility letters, security documents, inter-creditor and subordination documentation.  Alex is responsible for “know how” within the banking group and arranges regular talks on topical matters.
