Ross advises buyers, sellers and funders on all aspects of corporate transactions, guiding clients through complex legal and commercial issues from initial negotiations through to completion. He has extensive experience drafting, reviewing and negotiating key transaction documents, including non-disclosure agreements, share purchase agreements, business purchase agreements and disclosure letters. Ross works closely with clients to understand the commercial drivers behind each transaction, providing pragmatic and commercially focused advice that aims to facilitate successful deal completion while appropriately managing legal risk.
In addition to advising on corporate transactions, Ross supports clients on a wide range of corporate governance matters, including drafting and negotiating shareholders’ agreements, reviewing and updating articles of association and implementing corporate restructurings. He works closely with businesses throughout their lifecycle, providing pragmatic advice that balances legal requirements with the commercial needs of the organisation.
Ross also has experience in non-contentious insolvency matters and regularly advises insolvency practitioners and purchasers on the sale / acquisition of businesses and assets from companies in administration and liquidation. Drawing on his transactional and restructuring expertise, he provides solutions-focused advice to help stakeholders maximise value and successfully complete time-sensitive transactions.
